A Consolidation, Extension and Modification Agreement lets a borrower refinance without paying New York mortgage recording tax a second time on the money they already borrowed. Instead of satisfying the old mortgage and recording a new one for the full amount, the existing lien is assigned to the new lender, a gap mortgage covers only the new money, and the two are consolidated into a single lien.
Where the savings come from
Mortgage recording tax is charged on the amount of new indebtedness secured. In a straight refinance, that is the entire new loan. In a CEMA, it is only the gap — the difference between the new loan amount and the unpaid principal balance being assigned. On a large loan in a high-rate county, the difference is often measured in thousands of dollars.
Where the savings disappear
A CEMA is not free. Weigh the savings against:
- Assignment fees. The existing lender or servicer typically charges a fee to assign rather than satisfy, and turn times vary widely by servicer.
- Additional legal and title work. The consolidation package is more document-intensive than a standard refinance.
- Timing risk. If the assignment does not arrive, the closing waits. Order it early and track it.
- Small gaps. If the new loan is close to the existing balance, there is little tax to avoid and the fees may exceed the savings.
A working rule
Run the arithmetic at application, not at clear-to-close. Compare the mortgage recording tax on the full new loan against the tax on the gap, subtract the assignment and additional preparation costs, and give the borrower a number. If the net is meaningful, order the assignment the same day.
